Client Portal Terms of use

Applies to: https://portal.maverickresources.my and related web interfaces (the “Portal”)

These Terms of Use (the “Terms”) govern your access to and use of the Maverick Resources Client Portal and related services, including invoice viewing, communications with Maverick Resources staff, calendar appointments, file sharing/uploads, and support tickets (collectively, the “Services”). By creating an account, logging in, or using the Portal, you agree to these Terms and to our Privacy Notice and Cookie Notice. If you do not agree, do not use the Portal.


1. Who May Use the Portal

1.1 Business Use. The Portal is intended for Maverick Resources’ clients and their authorized representatives acting for a business, partnership, or other legal entity (each, an “Authorized User”).
1.2 Age & Authority. You must be at least 18 years old and have authority to bind your organization.
1.3 Account Ownership. The “Client” (your organization) controls its users, roles, and permissions. We may rely on instructions from users authenticated under your Client account.


2. Account Registration & Security

2.1 Accurate Information. Provide accurate, current, and complete registration details and keep them updated.
2.2 Credentials. Safeguard your username, passwords, MFA factors, and session tokens. You are responsible for all activities under your account.
2.3 Security Incidents. Notify us promptly of suspected unauthorized access, credential compromise, or security incidents at security@maverickresources.my.
2.4 Access Measures. We may require or offer measures such as multi‑factor authentication, role‑based access control, session timeouts, IP allowlisting, and device checks.


3. Relationship to Your Contract

These Terms supplement your master services agreement, engagement letter, statements of work, or similar contract with Maverick Resources (collectively, the “MSA”). If there is a conflict, the MSA governs commercial terms (scope, fees, deliverables), and these Terms govern Portal access and acceptable use.


4. Portal Features

4.1 Invoices & Billing. The Portal may display invoices, statements, and payment status for convenience. If there is a discrepancy, the officially issued invoice and accounting records prevail.
4.2 Messaging with Staff. Portal messaging is for business communications. Messages may be retained and accessible to relevant Maverick Resources personnel and your Client‑designated users.
4.3 Calendar Appointments. Appointments displayed are informational and may be subject to confirmation or change. Observe any rescheduling/cancellation policies in your MSA.
4.4 File Uploads & Sharing. Upload only lawful, relevant files that you are authorized to share, free of malicious code. The Portal may enforce file type and size limits. Maintain your own copies/backups.
4.5 Support Tickets. Submit and track tickets for service and support. Response times and service levels, if any, are as stated in your MSA or a service level document; otherwise, we use commercially reasonable efforts.


5. Client Data & Confidentiality

5.1 Definitions.Client Data” means data, files, messages, and other information uploaded or provided by you or on your behalf via the Portal.
5.2 Ownership. As between you and Maverick Resources, the Client retains all rights to Client Data.
5.3 License to Use. You grant Maverick Resources a non‑exclusive, worldwide, royalty‑free license to host, process, transmit, display, and back up Client Data to provide and improve the Services, meet legal obligations, and enforce these Terms.
5.4 Accuracy & Lawfulness. You are responsible for the accuracy, quality, and lawfulness of Client Data and for obtaining all necessary rights and permissions to provide it.
5.5 Confidentiality. Each party will protect the other’s confidential information and use it solely for legitimate business purposes of the engagement. Any NDA or confidentiality terms in the MSA apply to Portal use.


6. Acceptable Use (What You Must Not Do)

You agree not to:

  • Violate laws, regulations, or third‑party rights (including IP and privacy rights).
  • Upload or transmit malware, ransomware, viruses, or harmful code.
  • Interfere with or disrupt the Portal, perform denial‑of‑service attacks, or attempt to bypass security or access controls.
  • Scrape, crawl, or bulk‑download the Portal, or reverse engineer the Portal except to the extent allowed by law.
  • Misrepresent your identity or authorization, or share credentials with unauthorized persons.
  • Post or transmit unlawful, defamatory, harassing, discriminatory, or otherwise inappropriate content.
    We may suspend or terminate access for violations (see Section 13).

7. Privacy & PDPA (Malaysia)

7.1 PDPA Compliance. Maverick Resources processes personal data in accordance with Malaysia’s Personal Data Protection Act 2010 (PDPA) and applicable laws.
7.2 Privacy Notice. Our Privacy Notice explains what personal data we collect, how we use it, retention periods, your rights, and how to contact us.
7.3 Your Responsibilities. You will ensure that any personal data you provide via the Portal is collected lawfully, that required notices have been given, and that you have authority to disclose such data to Maverick Resources for the purposes of the engagement.
7.4 Cross‑Border Transfers. If personal data is transferred outside Malaysia, Maverick Resources will implement appropriate safeguards as required by law.

8. Security

8.1 Safeguards. We implement reasonable and appropriate technical and organizational measures designed to protect the Portal and Client Data (e.g., encryption in transit, access controls, monitoring, backups).
8.2 No Absolute Security. No system is 100% secure. You acknowledge residual risks, and agree to use the Portal in accordance with your own internal security policies.
8.3 Incident Response. If we become aware of a personal data incident impacting you, we will notify you in accordance with applicable law and our contractual obligations.


9. Data Retention, Export & Deletion

9.1 Retention. We retain Client Data and related logs for as long as necessary to provide the Services and to comply with legal and contractual requirements.
9.2 Export. Upon Client’s reasonable request (and subject to the MSA), we will assist with exporting Client Data in a commonly used format.
9.3 Deletion. Upon termination or at the Client’s request, and subject to legal/contractual retention obligations, we will delete or anonymize Client Data within a reasonable period. Backups and logs may persist for a limited time per our backup policies.


10. Intellectual Property

10.1 Maverick IP. The Portal (software, design, interfaces, content, and documentation) is owned by Maverick Resources or its licensors and protected by IP laws.
10.2 License. Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Portal for your internal business purposes during your Client relationship.
10.3 Restrictions. Except as expressly permitted, you must not copy, modify, create derivative works, sublicense, or distribute any part of the Portal.


11. Third‑Party Services

The Portal may interoperate with or reference third‑party services (e.g., calendar integrations, payment processors, file viewers). Your use of those services may be subject to their terms and privacy policies. We do not control and are not responsible for third‑party services.


12. Availability, Maintenance & Changes

12.1 Availability. We strive to keep the Portal available; however, it may be unavailable due to maintenance, updates, outages, force majeure, or events beyond our control.
12.2 Maintenance. We may perform scheduled or emergency maintenance with or without prior notice.
12.3 Changes. Features may evolve. If a change materially reduces core functionality, we will use reasonable efforts to notify affected Clients.


13. Suspension & Termination

We may suspend or terminate access to the Portal, immediately and without liability, if: (a) required by law or authority; (b) we detect a security incident or risk to the Portal; (c) you violate these Terms; or (d) the Client’s MSA is terminated or in default. Upon termination, your right to use the Portal ceases, and we may deactivate accounts. Provisions that by nature should survive (e.g., confidentiality, IP, indemnities, limitations of liability) will survive.


14. Warranties & Disclaimers

14.1 Client Warranties. You represent and warrant that you have the necessary rights to provide Client Data, and that your use of the Portal will comply with applicable laws and these Terms.
14.2 Disclaimer. The Portal and all content are provided “as is” and “as available”. To the maximum extent permitted by law, Maverick Resources disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Portal will be uninterrupted, error‑free, or secure.


15. Limitation of Liability

To the fullest extent permitted by law, Maverick Resources shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages (including loss of profits, revenue, goodwill, data, or business interruption), even if advised of the possibility. Our aggregate liability arising out of or related to the Portal or these Terms shall not exceed the fees paid by the Client to Maverick Resources for the services giving rise to the claim in the twelve (12) months preceding the event.

Some jurisdictions do not allow certain exclusions; in such cases, the above limitations apply to the maximum extent permitted.


16. Indemnification

You agree to indemnify, defend, and hold harmless Maverick Resources, its officers, directors, employees, and agents against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (i) your breach of these Terms; (ii) Client Data; or (iii) your misuse of the Portal.


17. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date indicates the latest revision. Material changes will be notified via the Portal, email, or other reasonable means. Your continued use after the effective date of changes constitutes acceptance of the updated Terms.


18. Governing Law & Dispute Resolution

These Terms are governed by the laws of Malaysia, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia. If the MSA specifies governing law or dispute resolution, those provisions prevail between Maverick Resources and the Client.

We may provide notices to you via the Portal, email, or the contact information associated with your account.


20. General

  • Entire Agreement. These Terms, the Privacy Notice, and the MSA (if any) form the entire agreement for Portal use.
  • Severability. If any provision is unenforceable, the remainder remains in effect.
  • No Waiver. Failure to enforce any provision is not a waiver.
  • Assignment. You may not assign or transfer rights without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale.
  • Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, labor disputes, utility or internet failures, cyberattacks, governmental actions).
